PLEASE READ THIS END USER LICENSE AGREEMENT ("EULA" OR "AGREEMENT") CAREFULLY BEFORE DOWNLOADING, INSTALLING, ACCESSING, OR USING THE SYNAPS APPLICATION, SAAS PLATFORM, DESKTOP INSTALLERS, MOBILE PACKAGES, OR RELATED SERVICES (COLLECTIVELY, THE "SOFTWARE").
BY DOWNLOADING, INSTALLING, CLICKING "I AGREE", OR ACCESSING SYNAPS, YOU ("LICENSEE", "USER", OR "YOU") AGREE TO BE BOUND BY THE TERMS OF THIS EULA. IF YOU DO NOT AGREE TO THESE TERMS, DO NOT INSTALL, COPY, OR USE THE SOFTWARE.
Subject to your compliance with this Agreement and payment of applicable subscription fees, Synaps Inc. ("Licensor") grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to:
You retain full legal ownership, title, and intellectual property rights in and to all documents, files, ledgers, contracts, meeting transcripts, records, and text uploaded, submitted, or processed through the Software ("User Content"). Synaps claims no ownership rights over your User Content.
You explicitly represent, warrant, and covenant that:
YOU AGREE TO DEFEND, INDEMNIFY, AND HOLD HARMLESS SYNAPS INC., ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND LICENSORS FROM AND AGAINST ANY AND ALL THIRD-PARTY CLAIMS, DEMANDS, SUITS, PROCEEDINGS, LOSSES, LIABILITIES, DAMAGES, SETTLEMENTS, FINES, COSTS, AND EXPENSES (INCLUDING REASONABLE ATTORNEYS' FEES AND COURT COSTS) ARISING OUT OF OR RELATING TO:
You agree that you will NOT, directly or indirectly:
The Software enables automated indexing, search, and retrieval of documents. You acknowledge that Synaps operates strictly as an automated processing service. Synaps is not responsible for validating the copyright status of files submitted by users. If third-party copyrighted material is uploaded to your workspace without authorization, it is subject to immediate takedown under our DMCA Copyright Policy.
This License is effective until terminated. Your rights under this Agreement will terminate automatically without notice if you fail to comply with any terms of this EULA or if your account is subject to repeat DMCA copyright infringement notices. Upon termination, you must cease all use of the Software and delete all copies of the Desktop Application installed on your devices.
THE SOFTWARE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE MAXIMUM EXTENT PERMITTED BY LAW, SYNAPS DISCLAIMS ALL WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
IN NO EVENT SHALL SYNAPS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, OR PUNITIVE DAMAGES (INCLUDING LOSS OF DATA, REVENUE, OR BUSINESS OPPORTUNITY) ARISING OUT OF YOUR USE OF THE SOFTWARE OR USER CONTENT.
This EULA shall be governed by and construed in accordance with the laws of India and applicable global international copyright treaties, without giving effect to conflict of laws principles. Any legal action or proceeding arising under this Agreement shall be brought exclusively in the competent courts located in Pune, Maharashtra, India.
